Estos Términos de Uso (el "Acuerdo") establecen los términos y condiciones que regulan el uso que usted hace de los servicios de Telemundo Communications Group, Inc. (“Telemundo”) y NBC Universal, Inc. (“NBC Universal”). Los servicios proveídos por Telemundo bajo la autoridad de este Acuerdo, incluyen todos los medios por los cuales Telemundo le brinda a usted o recibe de usted, contenido, incluyendo sin limitaciones: el contenido encontrado en el sitio Web de Telemundo www.telemundo.com; las aplicaciones de descarga de software; las entregas de contenido que usted solicita y que Telemundo le hace; los sitios Web móviles; las aplicaciones de descarga móviles; los servicios que le permiten enviar contenido a Telemundo, y los servicios de blogs, salas de chat y tableros de mensajes (los “Servicios”). Actualmente, se puede ganar acceso a muchos de los Servicios entrando al sitio www.telemundo.com (el "Sitio").

Por el presente documento, usted acuerda hacerse exclusivamente responsable de todos los cargos (por ejemplo, cargos telefónicos) relacionados con la conexión a los Servicios usando cualquier número de acceso disponible. Asimismo, usted acuerda hacerse exclusivamente responsable de obtener o proveer todas las líneas telefónicas de acceso, los equipos telefónicos y de computadora (incluyendo el módem) y/o cualquier otro medio de acceso que sea necesario para poder usar los Servicios.

1. RESTRICCIONES AL USO

   Telemundo puede, a su exclusiva discreción, descontinuar o modificar cualquier aspecto de los Servicios y del Sitio, incluyendo, sin limitaciones:

   1. restricciones al tiempo en que están disponibles;
   2. restricciones a la disponibilidad y/o alcance de los Servicios en determinadas plataformas (por ejemplo, en cuanto a tipos de equipos y sistemas operativos);
   3. restricciones al uso permitido, y
   4. restricciones a ó cesación de los derechos del usuario para el uso de todo o parte de los Servicios, en cualquier momento y a la exclusiva discreción de Telemundo, sin aviso previo y sin resultar en responsabilidad alguna.

2. PROPIEDAD Y POSESIÓN

   Los Servicios son propiedad de y están operados por Telemundo y sus empresas afiliadas y contiene material derivado en su totalidad o en parte de material suministrado por y propiedad de Telemundo, su casa matriz, subsidiarias, etc., incluyendo NBC Universal y otras empresas. Este material está protegido por leyes de copyright, de marca comercial y por otras leyes aplicables. Usted no tiene permiso para modificar, copiar, reproducir, volver a publicar, subir, anunciar o transmitir, exhibir públicamente, preparar trabajos derivados, o distribuir de cualquier modo material obtenido de los Servicios, incluido pero no limitado a códigos y software ("Material"). Usted tampoco está autorizado para usar Material relacionado con un sitio u otro uso que contenga o esté asociado con información o contenido prohibido por esta sección.

   Telemundo y las marcas comerciales y de servicio y los nombres de marca de Telemundo encontradas en este Sitio que son accesibles como resultado de los Servicios provistos son marcas de Telemundo y NBC Universal. Las demás marcas comerciales y de servicio y los nombres de marca usadas en los Servicios son propiedad de sus respectivos propietarios y las marcas comerciales encontradas arriba no pueden ser copiadas, bajadas o de todo otro modo explotadas sin la autorización de Telemundo o del propietario de esa marca comercial, marca de servicio o nombre de marca.

3. REGLAS QUE RIGEN EL USO DE LOS SERVICIOS Y POLÍTICA DE MEMBRESÍA

   1. INSCRIPCIÓN

      Si Telemundo decidiera prestar servicios de membresía cuando usted se inscribe para usar los Servicios, se le solicitará que proporcione cierta información personal. Por este medio, usted acepta suministrar información auténtica, exacta y completa sobre su persona, y actualizar dicha información cuando cambie. Si usted suministra información falsa o inexacta que no esté actualizada o esté incompleta, o si Telemundo sospecha que su información es falsa o inexacta, no está actualizada o está incompleta, entonces Telemundo podrá, a su exclusiva discreción, suspender o dar por finalizada su membresía y negarle acceso a los Servicios en ese momento o en cualquier momento en el futuro. Toda su información personal suministrada bajo la autoridad del presente Acuerdo quedará sujeta a los términos de nuestra <>.

      Aunque actualmente los Servicios son prestados de forma gratuita, ciertos servicios inalámbricos que usted solicite pudieran resultar en cargos por uso del servicio de mensajeria de texto u otros cargos impuestos por su compañía de servicios inalámbricos. Todos estos cargos son de su exclusiva responsabilidad. Telemundo se reserva el derecho a cambiar las condiciones de esta relación en cualquier momento.

   2. ACCESO DE MENORES AL SERVICIO

      Los Servicios son ofrecidos para visitantes al Sitio que tengan al menos 13 años de edad. Los menores de 13 años tienen prohibido inscribirse a los Servicios o el Sitio. Al inscribirse como miembro, usted declara que tiene al menos 13 años de edad. Consulte el párrafo 10 de abajo para obtener más detalles sobre el acceso de menores.

   3. CONTRASEÑAS

      Si Telemundo le proporciona una contraseña para permitirle acceso a ciertos Servicios, usted será exclusivamente responsable de mantener la confidencialidad de dicha contraseña y la información de su cuenta y asume responsabilidad exclusiva por todas las actividades que tomen lugar en conexión con su cuenta o con el uso de su contraseña. Asimismo, usted acuerda notificar inmediatamente a Telemundo ante cualquier uso no autorizado de su contraseña o de su cuenta, o ante cualquier otra violación de la política de seguridad, y si usa los Servicios a través del Sitio, se compromete a cerrar la sesión del Sitio cuando termine con cada sesión para evitar fraudes en el uso de su cuenta por terceros.

   4. LOS CORREOS ELECTRÓNICOS Y SUS PREFERENCIAS PERSONALES

      Telemundo pudiera decidir enviarle boletines informativos por correo electrónico sobre diversos temas – por ejemplo, para informarle sobre los beneficios de membresía y las funcionalidades del Sitio, o para darle la oportunidad de comprar productos y servicios seleccionados. Al inscribirse, usted puede optar por no recibir estos boletines informativos y/o comenzar a recibirlos y/o descontinuar su recepción en cualquier momento enviando un correo electrónico a la dirección que se le facilitará para ese fin. Con su permiso, Telemundo podrá también enviarle correos electrónicos en nombre de empresas terciarias previamente escogidas, las cuales incluirán ofertas de promoción y oportunidades que nosotros pensamos pudieran ser de su interés. Al inscribirse, usted podrá optar por recibir estos correos electrónicos y comenzar a recibirlos o descontinuar su recepción en cualquier momento, enviando un correo electrónico a una dirección que se le facilitará para ese fin. Mientras usted continúe siendo miembro, nos reservamos el derecho a continuar enviándole correos electrónicos y/u otros mensajes para comunicarle problemas con el Sitio o con los Servicios que ofrecemos.

   5. REGLAS QUE RIGEN EL USO DE LOS SERVICIOS

      Como condición para usar los Servicios, usted:

      1. no limitará ni impedirá a otro usuario el uso o aprovechamiento de los Servicios;
      2. no anunciará ni transmitirá ningún tipo de información ilegal, intimidante, abusiva, injuriosa, difamatoria, obscena, vulgar, pornográfica, profana o indecente alguna, lo que incluye – a título enunciativo y no limitativo – imágenes o material mostrando desnudos (incluyendo, sin limitaciones de ningún tipo y tal y como lo decida Telemundo a su exclusiva discreción, imágenes mostrando a personas con sus genitales expuestos ó usando ropa transparente sobre los genitales);
      3. no anunciará ni transmitirá comentarios que en la opinión de Telemundo, y a su exclusiva discreción, contengan lenguaje hostil u ofensivo incluyendo, sin limitaciones, referencias o apelativos referidos al sexo, injurias racistas, propaganda de odio, vocabulario soez, comentarios que siembren odio o comentarios rudos o deliberadamente ofensivos; con su conducta, no perturbará la Red, incluyendo esto un uso excesivo de secuencias de comandos, ondas sonoras, repeticiones incesantes de un mismo mensaje y la propagación de virus, bots, gusanos o troyanos informáticos;
      4. no anunciará ni transmitirá información, software o material fraudulento o que viole o infrinja los derechos de terceros incluido – a modo enunciativo y no limitativo – todo material que viole los derechos de privacidad y divulgación o las leyes de copyright o de marca comercial o cualquier otro derecho de propiedad sin la autorización del propietario o usufructuario de esos derechos, incluyendo sin limitaciones, cualquier material con copyright distribuido sin autorización (conocido como WAREZ);
      5. no anunciará ni transmitirá información, software u otro material que contenga un virus informático o cualquier otro elemento dañino;
      6. no anunciará ni transmitirá contenido que aliente o enseñe actividades ilegales y/o prohibidas, incluyendo – a título enunciativo y no limitativo – la piratería informática o telefónica, la práctica de códigos ocultos para ganar puntos extras o la participación en el juego, varias veces, cuando las reglas claramente establecen que no está permitido;
      7. no anunciará, transmitirá ni explotará de todo otro modo información, software ni ningún otro material con fines comerciales o material que contenga publicidad, correo basura, spam o cadenas;
      8. no solicitará a otros usuarios que se unan a, sean miembros de, o que contribuyan dinero con, una organización u otro servicio en-línea; no apoyará ni intentará que otros usuarios se unan a proyectos o planes, legales o ilegales, ni participará en actividades de fraude informático que involucren a otros usuarios;
      9. no se hará pasar por otra persona o por una entidad, ni hará afirmaciones falsas, o de todo otro modo tergiversará su relación profesional o su afiliación con una persona o una entidad dada;
      10. no clonará múltiples cuentas con el fin de votarse a sí mismo varias veces en tareas, encuestas, y/o concursos;
      11. no revenderá, redistribuirá, transmitirá o transferirá información y no utilizará la información que pudiera obtener a través de los Servicios en una base de datos que pueda ser buscada y leída por equipos;
      12. no utilizará los Servicios para recopilar información de identificación personal de los usuarios de los Servicios en violación de nuestra Política de Privacidad;
      13. no ocultará ni disimulará un tipo de archivo con el fin de sabotear los procesos de detección de Telemundo;
      14. no anunciará ni transmitirá nada que pudiera constituir o alentar una conducta que pudiera considerarse delito penal, que dé lugar a una responsabilidad civil, o que de algún otro modo infrinja las leyes locales, estatales, nacionales o internacionales;
      15. no enviará al Directorio en Vivo varios sitios Web con diferentes direcciones URL que redireccionen al usuario a otra página Web;
      16. no enviará al Directorio en Vivo más de una dirección URL para una misma categoría;
      17. no actualizará las listas del Directorio en Vivo con la intención de distorsionarlas o tergiversarlas, lo que incluye – a título enunciativo y no limitativo – cambiar los títulos de entradas, descripciones de entradas, direcciones URL o palabras clave; o
      18. no intentará obtener acceso no autorizado a otras redes o sistemas informáticos conectados a los Servicios.

      Usted acuerda no utilizar los Servicios, incluyendo toda información que los Servicios proporcionan y equipos, cadenas y dispositivos de las cadenas relacionados (incluido específicamente el acceso a Internet) con fines ilegales. Telemundo, a su exclusiva discreción, decidirá si la información transmitida o recibida viola esta disposición.

      Además, usted es responsable exclusivo por cualquier interacción con otros miembros o visitantes del Sitio, y el Sitio se reserva el derecho - pero no tendrá ninguna obligación - de monitorizar cualquier disputa entre usted y otro/s miembro/s del Sitio.

      Usted certifica por este medio que usted es una persona física (es decir, que usted no es una corporación).

   6. MONITORIZACIÓN

      Telemundo no tiene obligación de monitorizar el uso que los miembros hagan de los Servicios. Usted reconoce y acuerda que Telemundo se reserva el derecho a monitorizar parte o toda la información transmitida o recibida a través de los Servicios y que podrá hacerlo periódicamente con propósitos operativos o con otros propósitos. Durante la monitorización, la información podrá ser revisada, grabada, copiada y utilizada con fines autorizados y de acuerdo a nuestra Política de Privacidad. El uso del Servicio constituye su aceptación personal a este tipo de control. Además, Telemundo se reserva el derecho a divulgar, en cualquier momento, la información anunciada en cualquier parte de los Servicios según sea necesario y para satisfacer las imposiciones de una ley, regulación o una solicitud del gobierno, o negarse a anunciar o retirar información o materiales, en su totalidad o en parte, que a exclusiva discreción de Telemundo pudieran resultar objetables o pudieran violar este Acuerdo.

   7. SEGURIDAD PERSONAL

      Al utilizar los Servicios, asegúrese que todo lo que usted dice (escribe) no comprometa su seguridad personal. No suministre su nombre, número de teléfono, dirección postal o de correo electrónico, su contraseña, ni ninguna otra información de identificación personal a personas que usted no conoce e interrumpa cualquier conversación en-línea que lo haga sentir incómodo.

4. CONTENIDO FACILITADO POR LOS SERVICIOS

   Las Comunicaciones y el Contenido anunciados a través del Sitio son suministrados por usuarios como usted, no afiliados a Telemundo, y dichos usuarios son individual y exclusivamente responsables por dichas Comunicaciones y Contenido. Esto significa que usted, y no Telemundo, es el único responsable de todas las Comunicaciones y el Contenido que usted carga, anuncia, envía por correo electrónico o transmite de algún otro modo a través de los Servicios. Al utilizar los Servicios o recibir mensajes de miembros por correo electrónico a través de los Servicios, usted no debe dar por sentado que esos mensajes han sido revisados por Telemundo, que las Comunicaciones contienen información correcta, o que las personas que establecen las Comunicaciones o anuncian el Contenido se hayan identificado genuinamente a sí mismas y/o hayan identificado auténticamente su relación con terceros. Usted entiende que al utilizar el Servicio, usted puede estar expuesto a Comunicaciones y Contenido ofensivo, indecente u objetable. Bajo ninguna circunstancia Telemundo será responsable, de modo alguno, por las Comunicaciones y el Contenido, lo que incluye – a título enunciativo y no limitativo – cualquier responsabilidad por errores u omisiones en el Contenido o por las Comunicaciones, o por daños y perjuicios de ningún tipo resultando de las Comunicaciones y del uso del Contenido enviado por correo electrónico o transmitido de todo otro modo a través de los Servicios.

   1. REGLAS QUE RIGEN LAS SALAS DE CHAT, LOS TABLEROS DE MENSAJES Y DEMÁS MATERIALES SUMINISTRADOS POR EL USUARIO.

      Algunas áreas de este Sitio le proporcionan a usted, y a otros usuarios, la posibilidad de enviar, anunciar, mostrar, transmitir y/o intercambiar información, ideas, opiniones, fotografías, imágenes, videos, trabajos creativos u otra información, mensajes, transmisiones o material a nosotros, al Sitio, o a terceros ("Anunciar" o "Anuncios"). Los Anuncios no reflejan las opiniones de Telemundo y Telemundo no tiene ninguna obligación de monitorizar, editar ni revisar previamente los Anuncios. Sírvase consultar nuestros Términos de uso y nuestra Política de Privacidad. No obstante cualquier otra afirmación incluida en estas Reglas de Conducta, de ningún modo se debe considerar que Telemundo respalda algún Anuncio. Ni Telemundo ni su casa matriz ni sus respectivos funcionarios, directivos y empleados, empresas subsidiarias y/o afiliadas, serán responsables por Anuncios que infrinjan los términos de este Acuerdo.

      Usted acepta que todo lo que usted envía a Telemundo como Anuncio lo envía a través de los servidores de Telemundo usando el Internet y que, por lo tanto, usted no puede tener una expectativa de privacidad en relación con su envío. Por lo tanto, usted acepta que los Anuncios y las funciones de Telemundo son para comunicaciones públicas y no privadas. Por favor tenga en cuenta que siempre que usted suministra información personal en-línea – por ejemplo, a través de un tablero de mensajes o sala de chat – esa información puede ser recopilada y utilizada por personas desconocidas. Por consiguiente, no podemos garantizar la seguridad de ninguna información que usted divulgue en-línea; usted efectúa dichas divulgaciones por su propia cuenta y riesgo. (Los usuarios menores de 18 años de edad deben abstenerse de suministrar información de identificación personal mientras utilizan las salas de chat o tableros de mensajes.       En caso que un Anuncio sea enviado por usted o desde su cuenta, por el presente Acuerdo usted acepta no anunciar ningún material que viole las Reglas del Sitio tal y como se detalla arriba en el Párrafo 3. Usted acuerda asimismo obedecer todos los términos suplementarios mencionados en este Sitio, o en cualquier sitio conectado con este Sitio, específicamente, las Reglas para el Uso de los Servicios detalladas arriba en el Párrafo 3(e).

      Los tableros de mensajes facilitados por Telemundo son para el intercambio de opiniones e información acerca de programación de televisión de o relacionada con Telemundo. Por lo tanto, Telemundo se reserva el derecho a cerrar la cuenta o suspender los privilegios de anunciar de cualquier persona que Anuncie materiales que no estén relacionados con este tema.

      Aunque Telemundo puede monitorizar o revisar periódicamente los boletines electrónicos, salas de chat, discusiones, anuncios, transmisiones y publicaciones similares, Telemundo no tiene obligación de hacerlo y no asume responsabilidad civil, ni de ningún otro tipo, sobre el contenido ni las comunicaciones, ya sea por difamación, error, inexactitud, injuria, obscenidad o irreverencia incluida en dicho contenido o comunicaciones. Telemundo puede modificar, editar o retirar cualquier conversación o material ilegal, indecente, obsceno u ofensivo subido por el usuario o que de algún otro modo viole las políticas de Telemundo. Telemundo se reserva el derecho a retirar o editar el contenido de cualquier Foro, en cualquier momento o por cualquier motivo, aunque no tiene obligación de hacerlo. Telemundo colaborará al máximo con las entidades gubernamentales y órdenes judiciales que requieran u ordenen a Telemundo divulgar la identidad de la/s persona/s que anuncie/n este tipo de materiales.

      Los Anuncios deben ser cargados en el Sitio únicamente con fines no comerciales y usted no podrá promocionar, intentar promocionar o generar ingresos para una empresa o actividad comercial con sus Anuncios.

      Si usted piensa que algún contenido del Sitio (incluyendo sin limitaciones los Anuncios) viola cualquiera de los términos de este Acuerdo, envíenos un correo electrónico informándonos sobre la situación a correo@telemundo.com. De cualquier modo, no responderemos a su mensaje y nos reservamos el derecho a tomar, o no, medidas a nuestro alcance o que consideremos necesarias una vez recibido el mensaje.

   2. REGLAS QUE RIGEN EL CONTENIDO PRESENTADO POR LOS USUARIOS

      El término "Contenido" incluye todo material o información que usted presente, lo que incluye a modo enunciativo y no limitativo su nombre, retrato, videos, fotografías, grabaciones, escritos, declaraciones, materiales de audio y audiovisuales, ideas y todo otro material que usted proporcione a Telemundo en el Sitio o por otro medio.

   3. ORIGINALIDAD DEL TRABAJO Y DERECHO DE ANUNCIAR

      Todo Contenido que usted anuncie o cargue en este Sitio debe ser: (a) un trabajo original suyo que no sea copia ni que utilice otros trabajos (tales como diálogos de obras de teatro, grabaciones de obras musicales o clips de otros videos, programas de televisión o películas cinematográficas), ó (b) Contenido sobre el cual usted disfrute de todos los derechos y autorizaciones necesarias para cederlos conforme al presente Acuerdo. Además, el Contenido que usted presente no debe infringir ni violar los derechos de terceros - individuos o entidades, lo que incluye – a título enunciativo y no limitativo – derechos de copyright, marca comercial, por difamación, de privacidad, divulgación, por representación falsa, apropiación indebida de ideas, molestias o aflicción emocional, ni ningún otro derecho contractual - sin importar si dichos derechos son infringidos o violados intencional o negligentemente. Antes de anunciar cualquier Contenido, usted debe contar con todos los derechos, licencias, autorizaciones y consentimientos necesarios para presentar dicho Contenido y para ceder todos los derechos que cede a Telemundo bajo la autoridad de este Acuerdo. Antes de anunciar cualquier Contenido, usted debe contar con el consentimiento expreso de todos los que aparecen en el Contenido y así poder presentarlo para ser utilizado, exhibido y explotado de cualquier modo y en cualquier y todo medio que exista en la actualidad o que se descubra en un futuro, en todo el mundo y en perpetuidad. Si usted presenta la imagen de un menor de 18 años de edad que no es su hijo o tutelado, deberá contar con la autorización de uno de los padres o del tutor legal de ese menor.

   4. CESIÓN DE LOS DERECHOS AL CONTENIDO

      Al cargar o anunciar Contenido en Telemundo, usted reconoce y acuerda por el presente documento que cede a Telemundo (incluyendo – a título enunciativo y no limitativo – NBC Universal, Inc., sus licenciatarios, sucesores y cesionarios), la/s licencia/s y derecho/s irrevocable/s y perpetuo/s no exclusivo/s para: (a) utilizar, copiar y crear trabajos sobre la base de dicho material, reproducir, distribuir, mostrar, exhibir, alojar, reservar, almacenar, archivar, indexar, categorizar, hacer comentarios, acoplar, transmitir, emitir, emitir en directo, editar, alterar, modificar, sincronizar con material visual, crear algoritmos sobre la base de dicho material y convertir el formato del Contenido para que sea el apropiado según el medio y los estándares correspondientes, y (b) utilizar, exhibir y explotar de otro modo, y vender, otorgar licencia, ceder o transferir de algún otro modo a terceros el derecho para el uso, la exhibición o de todo otro modo de explotación del Contenido (en su totalidad o en parte, según lo modifique Telemundo, a su exclusiva discreción) en todo el mundo, en perpetuidad, en cualquiera de los medios o en todos los medios, ya sea que existan en la actualidad o que se desarrollen en un futuro, lo que incluye – a modo enunciativo y no limitativo – en el Sitio Web de Telemundo, en otros sitios Web, en los canales televisivos de la Cadena de Telemundo y en todas las cadenas de transmisión o por cable de su propiedad o afiliadas, así como también en relación con cualquier acuerdo de distribución con terceros o sitios de terceros en cualquier formato de medio o medios y por cualquier canal de los medios y con cualquier fin, lo que incluye – sin limitarse a descargas, emisiones en directo, en grabaciones audiovisuales, películas cinematográficas, programas televisivos, producciones, pautas publicitarias, promociones y publicidad, lo que incluye – a modo enunciativo y no limitativo – pautas publicitarias, promociones y publicidad para el Telemundo, el Sitio, el sitio www.nbc.com y otros sitios Web, canales televisivos y su programación, y todas las cadenas de transmisión o por cable de su propiedad o afiliadas, y los canales y su programación, todo sin ninguna obligación de dirigirle a usted otra notificación, solicitar su consentimiento o efectuarle un pago. Además, usted renuncia a todo "derecho moral" que pudiera tener sobre el Contenido.

      Sin perjuicio de la generalidad de lo que antecede, usted reconoce y acuerda que Telemundo, sus licenciatarios, sucesores y cesionarios tendrán plenos derechos para vender, otorgar licencia, ceder y transferir de cualquier otro modo cualquiera de los derechos y todos los derechos cedidos por usted a Telemundo conforme al presente Acuerdo, y para mostrar pautas publicitarias, materiales de publicidad, de promoción y los derechos de distribución en relación con el Contenido presentado por usted. Usted reconoce y acuerda además que Telemundo, sus licenciatarios, sucesores y cesionarios, tendrán el derecho a retener toda ganancia generada por ventas, otorgamiento de licencias, cesiones y todo otro tipo de transferencias de los derechos cedidos por usted en este documento, así como también cualquier otra ganancia generada por las pautas publicitarias, publicidad, materiales de promoción y derechos de distribución en relación con su Contenido. Nada en este Acuerdo obliga o puede considerarse como que obliga a Telemundo, ni a ninguna otra persona o entidad, a ejercer alguno de los derechos cedidos por usted por el presente Acuerdo. Además, usted cede estos derechos con pleno conocimiento que el Contenido presentado por usted, o cualquiera de sus partes, podrá ser utilizado o no utilizado por Telemundo a su exclusiva discreción y reconoce que considera que los derechos que cede sobre el Contenido son para que Telemundo, sus licenciatarios, sucesores y/o cesionarios, posiblemente decidan, o no, revisar o utilizar dicho Contenido. Usted es conciente también del hecho que no recibirá ningún otro tipo de compensación por su Contenido o por el uso del mismo, y acepta que Telemundo, sus licenciatarios, sucesores y/o cesionarios, a su exclusiva discreción, tengan derecho a dar o no crédito, o decidir en que forma darán crédito por cualquier uso que ellos hagan del Contenido que usted presente. Por otro lado, no acusaremos recibo del Contenido que usted presente y el mismo no le será devuelto. Usted reconoce y acuerda que el envío de su Contenido es voluntario y no confidencial, y que al hacerlo, no existe ninguna intención de crear algún tipo de relación confidencial entre Telemundo y/u otra persona o entidad, por una parte, ni entre Telemundo y usted, por otra parte, a raíz del Contenido presentado por usted dentro del Contenido.

      Telemundo tendrá el derecho, a su exclusiva discreción, de no publicar el Contenido en cualquier sitio Web; a borrar o retirar el Contenido de cualquier sitio Web donde haya sido publicado y a no usar, exhibir o de todo otro modo explotar su Contenido de un modo determinado. Telemundo tampoco tiene ninguna obligación de informarle sobre cualquier decisión que haga de no colocar, retirar, no utilizar, exhibir o explotar de algún otro modo el Contenido presentado por usted.

      Usted admite que otras personas, incluidos los propios empleados de Telemundo, pudieran haber presentado a Telemundo, o a otros, o haber hecho público o en el futuro pudieran dar origen y presentar o hacer público, materiales similares o idénticos al Contenido presentado por usted. Usted reconoce y acuerda que Telemundo, sus licenciatarios, sucesores y/o cesionarios tendrán derecho de utilizar dichos materiales similares o idénticos y que usted no tendrá derecho a ningún tipo de compensación por el uso que Telemundo o sus licenciatarios, sucesores y/o cesionarios hagan de dichos materiales similares o idénticos. Ninguna disposición del presente Acuerdo ni ninguna presentación de su Contenido será interpretada a modo que lo ponga a usted en una posición diferente a la de cualquier otra persona o del público en general.

   5. USO DE NOMBRE Y SEMEJANZA

      Al enviar a Telemundo su Contenido, usted también acepta la grabación, utilización y reutilización por parte de Telemundo, sus licenciatarios, sucesores y cesionarios, de su voz, acciones, semejanza, nombre, apariencia, actuación, material biográfico y cualquier otra información de identificación, lo que incluye – a título enunciativo y no limitativo – toda información incluida en el Contenido presentado por usted (conjuntamente los "Elementos Personales"), tal y como sea editada, alterada, convertida a ficción o modificada por Telemundo, a su sola discreción, en cualquiera y todos los medios conocidos o desarrollados en un futuro, en todo el mundo y en perpetuidad, lo que incluye – a título enunciativo y no limitativo – en relación con Telemundo, el Sitio, o sitios Web relacionados, en relación con cualquier programa y otras producciones televisivas, y en relación con pautas publicitarias, promociones y publicidad. Usted reconoce y acuerda además que Telemundo, sus licenciatarios, sucesores y cesionarios pueden utilizar todos o cualquier parte de sus Elementos Personales y pueden hacer las modificaciones que cualquiera de ellos estime necesarias, a su exclusiva discreción, lo que incluye alterarlos, convertirlos en ficción o modificarlos, sin tener en cuenta que usted pueda ser identificado o no.

   6. PROPIEDAD DEL CONTENIDO PRESENTADO POR LOS USUARIOS

      Con excepción de lo expresamente establecido en el presente Acuerdo, usted conservará todos los derechos en el Contenido y al mismo. En la medida en que su Contenido contenga otros materiales o elementos que sean propiedad de Telemundo o de cualquier otra empresa afiliada, tales como personajes u otros elementos protegidos por derecho de copyright, marca comercial u otro tipo de legislación, su derecho de hacer cualquier otro uso del Contenido seguirá rigiéndose y podrá verse limitado por otras leyes aplicables vigentes.

5. COMERCIANTES

   Su correspondencia o actividad comercial con o su participación en promociones de comerciantes que encontró a través del Servicio, incluido el pago y la entrega de productos y servicios relacionados y otros términos, condiciones, garantías o representaciones vinculadas con dicha actividad comercial, son actividades comerciales realizadas exclusivamente entre usted y ese comerciante. Telemundo no será responsable, ni asumirá ninguna responsabilidad civil, por daños y perjuicios de ningún tipo resultando de dichas actividades comerciales o de la presencia de dichos comerciantes en el Servicio.

6. EXENCIONES DE RESPONSABILIDAD

   Telemundo no es responsable por ningún Contenido incorrecto o inexacto anunciado en el Servicio o en relación con los Servicios de Telemundo, ya sea que la causa del error sea de los Usuarios de los Servicios o el equipo o la programación relacionada con o utilizada en los Servicios. Los perfiles creados y publicados por los miembros en Telemundo pueden contener enlaces a otros sitios Web. Telemundo no es responsable del Contenido, la exactitud o las opiniones expresadas en el Servicio, y no se investiga, controla o vigila a Telemundo por lo completo o por lo exacto de la información que es divulgada. La inclusión de un sitio Web en el Sitio de Telemundo a través de un enlace no implica la aprobación de o el respaldo a dicho sitio Web. Cuando usted accede a los sitios Web de terceros, usted lo hace por su propia cuenta y riesgo. Telemundo no tiene responsabilidad alguna por las pautas publicitarias de terceros que se anuncien en, o a través de, Telemundo o de los Servicios; tampoco tiene responsabilidad por los productos o servicios proporcionados por sus anunciantes. Telemundo no asume responsabilidad alguna por errores, omisiones, interrupciones, material retirado o borrado, defectos, demoras en la operación o transmisión, falla en la línea de comunicaciones, robo o destrucción, acceso no autorizado a ó alteración de, cualquier comunicación de un Usuario o Miembro. Telemundo no es responsable por los problemas o el mal funcionamiento técnico de cualquier red o línea telefónica, sistema informático en-línea, servidor o proveedor, equipo informático, software, falla de correo electrónico o de quienes participan en el juego debido a problemas técnicos o congestión de tráfico en Internet o en cualquiera de los Servicios, o una combinación de lo que antecede, incluido cualquier daño o perjuicio al equipo de un Usuario o de otra persona relacionado con, o que resulte de, la participación o la descarga de materiales vinculados con los Servicios. Bajo ninguna circunstancia Telemundo será responsable por pérdidas o daños y perjuicios, lo que incluye lesión personal o muerte que resulte del uso de los Servicios de Telemundo, la asistencia a un evento de Telemundo, del Contenido anunciado en o a través de Telemundo, o de la conducta de un Usuario de los Servicios, ya sea en-línea o mientras esté desconectado. Los Servicios se brindan "EN SU ESTADO ACTUAL" según estén disponibles y Telemundo expresamente deniega toda garantía de idoneidad para un determinado fin o de no violación. Telemundo no puede garantizar y no asegura ningún resultado en particular del uso de los Servicios.

7. LIMITACIÓN DE RESPONSABILIDAD

   EN NINGÚN CASO TELEMUNDO SERÁ RESPONSABLE, ANTE USTED O ANTE UN TERCERO, POR DAÑOS INDIRECTOS, EMERGENTES, EJEMPLARES, INCIDENTALES, ESPECIALES O PUNITIVOS, INCLUIDO TODO DAÑO POR PÉRDIDA DE GANANCIAS QUE SURJA DE SU USO DE LOS SERVICIOS, AUN EN EL CASO EN QUE SE LE HUBIERA ADVERTIDO A TELEMUNDO SOBRE LA POSIBILIDAD DE DICHOS DAÑOS.

8. INDEMNIZACIÓN

   Usted acepta defender, indemnizar y mantener a Telemundo, NBC Universal, Inc., sus empresas afiliadas y sus respectivos directivos, funcionarios, empleados y agentes, libres de toda reclamación, acción legal, demanda o procedimiento judicial, así como también de toda pérdida, responsabilidad, daño, costos y gastos (incluidos honorarios razonables de abogado) que surjan o se acumulen por:

   1. cualquier material anunciado por usted o que de algún otro modo usted haya proporcionado y que infrinja derechos de copyright, marca comercial, secreto comercial, imagen comercial, patente u otro derecho de propiedad intelectual de cualquier persona, o que difame a una persona o viole sus derechos de publicidad o privacidad;
   2. cualquier afirmación errónea que usted haga en relación con su uso de los Servicios;
   3. la falta de cumplimiento de las declaraciones, garantías u otros términos o condiciones de los Requisitos del Contenido, o cualquier uso que se haga del Contenido presentado por usted o de los Elementos Personales;
   4. la falta de cumplimiento por su parte de los términos y condiciones de este Acuerdo, y
   5. las reclamaciones presentadas por personas o entidades ajenas al presente Acuerdo que surjan de, o estén vinculadas con, su acceso y uso de los Servicios o del Contenido presentado por usted a los Servicios, incluida toda información obtenida a través de los Servicios.

9. TERMINACIÓN

   Telemundo puede, a su exclusiva discreción, cancelar su contraseña, cerrar su cuenta (o cualquier parte de la misma) dar por finalizado su derecho a utilizar los Servicios, o eliminar y descartar cualquier Comunicación que usted haya transmitido, o cualquier información que haya guardado, enviada o recibida a través de los Servicios, sin aviso previo y por cualquier motivo, incluidos los que se describen a continuación y sin limitarse a ellos:

   1. el acceso simultáneo a los Servicios con números de identificación de usuarios idénticos,
   2. permitir a otra persona o entidad que utilice su número de identificación de usuario para acceder a los Servicios,
   3. cualquier otro uso de o acceso a los Servicios diferente al expresamente estipulado en el presente Acuerdo,
   4. cualquier violación de los términos y condiciones de este Acuerdo o de las normas y regulaciones relacionadas con el uso del software y/o los archivos de datos que se contienen en, o a los que se accede a través de los Servicios,
   5. la manipulación o modificación de cualquier software y/o archivo de datos que se contiene en, o a los que se accede a través de los Servicios, o
   6. la falta de uso de los Servicios o parte de los Servicios de modo habitual. Conforme al presente Acuerdo, usted puede dar por finalizada su membresía a partir de los treinta (30) días de su notificación por escrito a Telemundo sobre su intención de terminar este Acuerdo. La terminación, suspensión o cancelación de este Acuerdo, o de los derechos de acceso del usuario, no afectarán ningún derecho o reparación a los que Telemundo pueda tener derecho, conforme a derecho o equidad. Una vez rescindido el presente Acuerdo, todos los derechos otorgados al usuario terminarán automáticamente y volverán a Telemundo y a sus otorgantes de licencias.

10. MENORES DE EDAD

    Si usted ha decidido permitir a su hijo menor o tutelado ("Menor") utilizar los Servicios, usted acepta que será el único responsable de:

    1. la conducta del Menor en-línea;
    2. monitorizar el acceso del Menor y su uso de los Servicios y
    3. las consecuencias de cualquier uso que el Menor haga de los Servicios. Conforme al presente Acuerdo, los menores de 13 años no pueden inscribirse para usar los Servicios. En diversas áreas de los Servicios preguntamos si los usuarios son menores de 18 ó 13 años de edad y Telemundo considera que los usuarios responden a estas preguntas verazmente. Si un usuario no da a conocer su verdadera edad, no tendremos modo de verificarla según nuestra Política de privacidad.

11. NOTIFICACIÓN – CHILD ONLINE PROTECTION ACT

    Conforme al Artículo 230(d) enmendado del Título 47 del Código de los EE.UU., por el presente documento Telemundo le notifica que existen en el mercado sistemas de protección (hardware, software o servicios de filtros) que pueden ayudar a los padres y con los que pueden controlar y restringir el acceso a cualquier material perjudicial para los menores. 12. POLÍTICA EN CASO DE VIOLACIÓN

    Conforme al Título 17 del Código de los EE.UU., Artículo 512 enmendado por el Título II del Digital Millennium Copyright Act (la "Ley"), Telemundo se reserva el derecho, pero no asume la obligación, de dar por finalizada la licencia del usuario para utilizar los Servicios si determina, a su sola y exclusiva discreción, que el usuario está involucrado en actividades que violan las leyes, incluyendo actos que supuestamente ocurren por primera vez o actos reincidentes, sin importar si al final se determina que no ha existido ninguna violación. Telemundo tiene en cuenta y no interfiere con las medidas técnicas estándar utilizadas por los propietarios de copyright para proteger sus materiales. Además, conforme al Artículo 512(c) del Título 17 del Código de los EE.UU., Telemundo ha implementado procedimientos para recibir notificaciones por escrito de supuestas violaciones y para procesar dichas reclamaciones de acuerdo con la Ley.     Asimismo, toda notificación por escrito relacionada con actividades de difamación o violación, ya sean referidas a copyright, patente, marca comercial u otro derecho de propiedad, debe incluir la siguiente información:

Identificación del material por el que se presenta una reclamación de violación, por ser materia de actividades que violan derechos o por ser difamatorio, y que debería eliminarse o al que no se debería permitir el acceso, e información razonablemente suficiente para permitirnos ubicar el material.
    4. Información razonablemente suficiente para que podamos comunicarnos con usted, como por ejemplo, su domicilio, número de teléfono, y/o dirección de correo electrónico.
    5. Una declaración expresando que usted, de buena fe, cree que el uso del material en el modo en que se presenta la reclamación no está autorizado por el propietario del copyright o el propietario de otro derecho de propiedad, su representante, o las leyes.
    6. Una declaración de que la información de la notificación es exacta y bajo pena de perjurio que usted está autorizado a actuar en representación del propietario del derecho exclusivo que supuestamente ha sido infringido o en representación de la persona que ha sido difamada.

13. MODIFICACIONES

    Telemundo se reserva el derecho, a su sola discreción, a enmendar el presente Acuerdo y a modificar, agregar o descontinuar cualquier aspecto, contenido o funcionalidad del Servicio. Dichas enmiendas, modificaciones, adiciones o eliminaciones se harán efectivas una vez que hayan sido notificadas; esta notificación podrá ser anunciada en los Servicios, o se le enviará por correo electrónico u otro medio razonable. El uso continuado de los Servicios por parte del usuario constituirá su aceptación de tales enmiendas, modificaciones, adiciones y eliminaciones.

    Los términos de este Acuerdo podrán ser de vez en cuando sustituidos por las Reglas Oficiales de cualquier concurso, sorteo y/o votación en el Sitio.

14. INFORMACIÓN SOBRE EL CONTROL DE LAS EXPORTACIONES

    A menos que se especifique lo contrario, los materiales de los Servicios se presentan únicamente para facilitar información relacionada con y para promover los Servicios de Telemundo y otros productos disponibles en los EE.UU., sus territorios, posesiones y protectorados. Telemundo controla y opera los Servicios desde sus oficinas en el estado de la Florida, EE.UU. Telemundo no hace afirmaciones en sentido que los materiales de los Servicios sean adecuados o estén disponibles para su uso afuera de los EE.UU. Quienes decidan acceder a los Servicios desde afuera de los EE.UU., lo hacen por su propia iniciativa y son responsables del cumplimiento de las leyes locales siempre que estas leyes sean aplicables y teniendo en cuenta su alcance. El software de los Servicios está sujeto, además, a los controles de exportación de los EE.UU. Ningún software del Servicio puede ser descargado o exportado de otro modo o reexportado: (i) a (un nacional de o residente en) Cuba, Irak, Libia, Corea del Norte, Irán, Siria, ni ningún otro país al que EE.UU. haya embargado bienes, o (ii) a ninguna persona que figure en la Lista de Nacionales Especialmente Designados del Departamento del Tesoro de los EE.UU. o en la Lista de Órdenes Denegadas del Departamento de Comercio de los EE.UU. Al utilizar los Servicios usted afirma y garantiza que no se encuentra en o bajo el control y que no es nacional o residente de ninguno de los países mencionados y que no figura en dichas listas.

15. VARIOS

    Este Acuerdo se regirá y se interpretará de acuerdo con las leyes del Estado de Florida sin dar lugar a principios de conflictos legales. Aunque usted reconoce que tendríamos la posibilidad de hacer valer nuestros derechos en cualquier tribunal de jurisdicción competente, por el presente Acuerdo acepta la jurisdicción y fuero exclusivos de los tribunales de Miami, Florida, EE.UU., para cualesquiera y todas las disputas relacionadas con este Acuerdo o su utilización de los Servicios. Usted reconoce y acuerda que las cláusulas de exención de garantías y limitación de responsabilidades y remedios de este Acuerdo son términos esenciales del mismo y que han sido tenidos en cuenta en la decisión de Telemundo de brindar los Servicios conforme a dicho Acuerdo. Usted no puede ceder ninguno de los derechos, obligaciones o privilegios que surgen de este Acuerdo sin el consentimiento previo y por escrito de Telemundo. Cualquier cesión de ese tipo hecha sin tener en cuenta lo estipulado en esta sección será nula y sin valor, ab initio. Si una disposición de este Acuerdo resultara ilegal, nula o – por cualquier motivo – no aplicable, las demás disposiciones del Acuerdo permanecerán vigentes y dicha disposición se hará valer hasta donde las leyes lo permitan en consonancia con la intención de las partes y no afectará la validez ni la aplicabilidad de las demás disposiciones. El presente Acuerdo y las normas que rigen las operaciones anunciadas constituyen la totalidad del acuerdo entre las partes con respecto al contenido del mismo y reemplaza todas las comunicaciones y presentaciones anteriores y contemporáneas, orales o escritas, entre las partes con respecto a dicho contenido. Ninguna renuncia a una disposición o derecho otorgado conforme al presente Acuerdo será efectiva a menos que se establezca mediante documento escrito firmado por la parte que renuncia a un derecho. La renuncia de cualquiera de las partes a reclamar por incumplimiento o violación de lo dispuesto en el presente Acuerdo, no se considerará como renuncia a los derechos por posteriores incumplimientos o violaciones. Usted acuerda no reproducir, duplicar, vender, revender ni explotar con fines comerciales ninguna parte de los Servicios ni el acceso a los Servicios. Los títulos y subtítulos utilizados en el presente Acuerdo se utilizan sólo con fines prácticos y no deben ser tenidos en cuenta en la interpretación de este Acuerdo.

16. MEDIACIÓN Y ARBITRAJE: SÍRVASE LEER CUIDADOSAMENTE. CONFORME A ESTA SECCIÓN, USTED ESTÁ RENUNCIANDO A SU DERECHO A PRESENTAR UNA ACCIÓN LEGAL ANTE LOS TRIBUNALES CON RESPECTO A CUALQUIER RECLAMACIÓN QUE SURJA EN RELACIÓN CON EL PRESENTE ACUERDO O SU PRESENTACIÓN.
17. SI LAS CONTROVERSIAS O RECLAMACIONES QUE SURGIERAN DE O ESTUVIERAN RELACIONADAS CON ESTE ACUERDO, O EL INCUMPLIMIENTO DE CUALQUIER TÉRMINO DEL ACUERDO O DE SU PRESENTACIÓN NO PUDIERAN SOLUCIONARSE A TRAVÉS DE DISCUSIONES DIRECTAS, LAS PARTES ACUERDAN PONER PRIMERO TODOS LOS MEDIOS PARA DIRIMIR LA CONTROVERSIA O RECLAMACIÓN A TRAVÉS DE UNA MEDIACIÓN LLEVADA A CABO EN EL CONDADO DE MIAMI-DADE Y ADMINISTRADA POR JAMS CONFORME A SUS REGLAS DE ARBITRAJE VIGENTES, ANTES DE COMENZAR CUALQUIER PROCEDIMIENTO PERMITIDO CONFORME A ESTE PÁRRAFO. SI UNA CONTROVERSIA O RECLAMACIÓN NO SE RESUELVE A TRAVÉS DE DISCUSIONES DIRECTAS O MEDIACIÓN, TAL COMO SE ESTABLECE MÁS ARRIBA, LAS PARTES ACUERDAN QUE SE RESOLVERÁ POR ARBITRAJE QUE SE LLEVARÁ A CABO EN LA CIUDAD DE MIAMI Y ADMINISTRADO POR JAMS CONFORME A SUS REGLAS Y PROCEDIMIENTOS DE ARBITRAJE ESTABLECIDOS O A VERSIONES SUBSIGUIENTES DE DICHAS REGLAS Y PROCEDIMIENTOS, INCLUIDA LA APELACIÓN (LAS "REGLAS JAMS"). SE USARÁN LAS REGLAS JAMS PARA LA SELECCIÓN DE UN ÁRBITRO, PERO TENIENDO EN CUENTA QUE EL ÁRBITRO TIENE QUE TENER EXPERIENCIA EN LA INDUSTRIA DEL ESPECTÁCULO Y LICENCIA PARA LA PRÁCTICA LEGAL EN FLORIDA O SER UN JUEZ JUBILADO. CUALQUIER PANEL DE APELACIÓN DEBE ESTAR FORMADO POR TRES MIEMBROS NEUTRALES, QUE CUMPLAN CON LOS REQUISITOS ANTES MENCIONADOS. TODO PROCEDIMIENTO DE ARBITRAJE, INCLUIDOS LOS DOCUMENTOS PRESENTADOS DURANTE EL PROCEDIMIENTO Y EL HECHO DE QUE SE ESTÁ LLEVANDO A CABO EL ARBITRAJE, SERÁN CONFIDENCIALES. LA DECISIÓN DEL ÁRBITRO DEBERÁ SER CONFORME A LOS TÉRMINOS DEL PRESENTE ACUERDO. UNA VEZ FINALIZADO UN PROCEDIMIENTO DE ARBITRAJE CONFORME A ESTE DOCUMENTO, EL ÁRBITRO DEBERÁ PRESENTAR SUS HALLAZGOS SOBRE CUESTIONES DE HECHO Y SUS CONCLUSIONES LEGALES Y UNA OPINIÓN POR ESCRITO MOSTRANDO EL FUNDAMENTO Y LOS MOTIVOS DE CUALQUIER DECISIÓN A LA QUE HAYA LLEGADO, Y DEBERÁ ENVIAR DICHOS DOCUMENTOS A CADA UNA DE LAS PARTES DEL ACUERDO JUNTO CON UNA COPIA DEL LAUDO FIRMADA. SE PODRÁ INSTAR LA EJECUCIÓN DEL LAUDO ARBITRAL ANTE CUALQUIER TRIBUNAL ESTATAL O FEDERAL DEL CONDADO DE MIAMI, FLORIDA CON JURISDICCIÓN SOBRE EL CONTENIDO DEL PRESENTE ACUERDO. USTED PUEDE INICIAR UNA ACCIÓN LEGAL CON EL ÚNICO FIN DE QUE SE EJECUTE UN LAUDO ARBITRAL. These Terms of Use (the "Agreement") set forth the terms and conditions that apply to your use of the services from Telemundo Communications Group, Inc. (“Telemundo”) and NBC Universal, Inc. (“NBC Universal”). The services provided by Telemundo pursuant to this Agreement include all means by which Telemundo provides content to you or receives content from you, including, without limitation, www.telemundo.com, downloadable software applications, delivery of Telemundo content to you at your request, mobile web sites, mobile downloadable applications, services that allow you to submit content to Telemundo, blog submission services, chat rooms and message boards (“Services”). The Services may currently be accessed among other means via the site located at www.telemundo.com (“Site”).

You hereby agree you are responsible for all charges (e.g., telephone) associated with connecting to the Service through an available access number. You are also responsible for obtaining or providing all telephone access lines, telephone and computer equipment (including modem), or other access device, necessary to access the Services.

1. RESTRICTIONS ON USE

   Telemundo may, in its sole discretion, discontinue or alter any aspect of the Services and the Site, including, but not limited to,

   1. restricting the time of availability,
   2. restricting the availability and/or scope of the Services for certain platforms (i.e., computer types and operating systems),
   3. restricting the amount of use permitted, and
   4. restricting or terminating any User's right to use all or part of the Services, at any time in Telemundo’s sole discretion and without prior notice or liability.

2. OWNERSHIP

   The Services are owned and operated by Telemundo and its affiliated companies and contain material that is derived in whole or in part from material supplied and owned by Telemundo, its parent company, subsidiaries, etc. including NBC Universal and other sources. Such material is protected by copyright, trademark, and other applicable laws. You may not modify, copy, reproduce, republish, upload, post, transmit, publicly display, prepare derivative works based on, or distribute in any way any material from the Services, including but not limited to code and software ("Material"). You may not use any Material in connection with any site or other use that contains or is associated with information or content prohibited by this section.

   Telemundo and the Telemundo trademarks and service marks found on the Site and accessible as a result of the Services provided are marks of Telemundo and NBC Universal. All other trademarks, service marks and trade names used on the Services are the property of their respective owners, and all of the above trademarks may not be copied, downloaded or otherwise exploited without the permission of Telemundo or the owner of such trademark, service mark or trade name.

3. MEMBERSHIP RULES AND RULES FOR THE USE OF THE SERVICES

   1. REGISTRATION

      Should Telemundo choose to provide member based services, when you register to use these Services, you will be required to provide certain information about yourself. You agree to provide true, accurate and complete information about yourself, and to update this information when it changes. If you provide any information that is untrue or inaccurate, not current, or incomplete, or if Telemundo suspects that your information is untrue or inaccurate, not current, or incomplete, Telemundo, may, in its sole discretion, suspend or terminate your membership and refuse current or future access to the Services. Any personal information supplied hereunder will be subject to the terms of our <>.

      The Services are currently provided for free, although certain wireless services you request may cause you to incur text messaging or other charges by your wireless carrier. Any charges are your sole responsibility. Telemundo reserves the right to change the nature of this relationship at any time.

   2. ACCESS BY MINORS

      The Services are intended for site visitors ages 13 and up. Children under the age of 13 may not register for Services or with the Site. By registering as a member, you represent that you are 13 years of age or older. See paragraph 10 below for more details about access by minors.

   3. PASSWORDS

      Should Telemundo provide to you a password that allows you to access certain Services, you will be solely responsible for maintaining the confidentiality of the password and your account information, and are fully responsible for all activities that occur under your password or account. You agree that you will immediately notify Telemundo of any unauthorized use of your password or account, or any other breach of security, and that if you access Services via the Site, you will log off of the Site at the end of each session to prevent fraud on your account by third parties.

   4. EMAILS AND YOUR PREFERENCES

      Telemundo may choose to send you e-mail newsletters on a variety of topics - for example, informing you of membership benefits and features, or presenting you with the opportunity to buy selected products and services. You may elect during registration not to receive these e-mail newsletters, and you may start or stop receiving such e-mail newsletters at any time by sending an e-mail to an address that shall be designated for that purpose. With your permission, Telemundo may send you e-mails on behalf of pre-screened third parties containing promotional offers or opportunities that we believe may be of interest to you. You may elect during registration to receive these e-mails, and you may start or stop receiving such e-mails at any time by sending an e-mail to an account that shall be designated for that purpose. We reserve the right to continue to contact you while you are registered as a member with emails or other messages letting you know of problems with the Site or with Services we offer.

   5. RULES FOR USE OF THE SERVICES

   Conduct Required for Use of the Services

   It is a condition of your use of the Services that you do not:

   1. restrict or inhibit or interefere with any other uses, user or enjoyment of the Services;
   2. post or transmit any unlawful, threatening, abusive, libelous, defamatory, obscene, vulgar, pornographic, profane or indecent information of any kind, including without limitation, any images or other material depicting nudity (which includes without limitation, images depicting persons with unclothed genitalia or persons wearing transparent clothing over genitalia as determined by Telemundo in its sole discretion);
   3. post or transmit comments containing abusive, defamatory, libelous, indecent, obscene, harassing or offensive language, including sexual references, sexual nicknames, racial slurs, threatening language, hate propaganda, hate mongering, swearing, or rude or deliberately offensive comments as determined by Telemundo in its sole discretion, or engage in disruptive activities online, including excessive use of scripts, sound waves, scrolling (repeating the same message over and over), or use of viruses, bots, worms or trojan horses;
   4. post or transmit any information, software or other material that is fraudulent or violates or infringes the rights of others, including without limitation, material that violates privacy or publicity rights, or infringes copyright, trademark or other proprietary rights, without first obtaining permission from the owner or right holder, including, but not limited to WAREZ (copyrighted material distributed without permission);
   5. post or transmit any information, software or other material that contains a virus or other harmful component;
   6. post or transmit content that encourages anyone to break the law or provides instructional activities about illegal and/or prohibited activities, including without limitation, hacking, cracking, phreaking, executing hidden code to gain extra points, playing a game multiple times when the rules clearly state that is not allowed;
   7. post, transmit or in any way exploit any information, software or other material for commercial purposes or that contains advertising, "junk mail," "spam," or "chain letters";
   8. solicit other users to join, become members of, or contribute money to any online service or other organization, advocate or attempt to get users to join in legal or illegal schemes or plan or participate in scams involving other users;
   9. impersonate any person or entity or falsely state or otherwise misrepresent your professional or other affiliation with any person or entity;
   10. create multiple "clone" accounts solely with the intention of voting for yourself multiple times on tasks, polls and/or contests;
   11. resell, redistribute, broadcast or transfer the information or use the information derived from the Services in a searchable, machine-readable database;
   12. use the Services to collect personally identifying information about users of the Services in violation of our Privacy Policy;
   13. disguise a file type to thwart Telemundo's detection processes;
   14. post or transmit any transmissions constituting or encouraging conduct that would constitute a criminal offense, give rise to civil liability or otherwise violate any local, state, national or international law;
   15. submit to the Live Directory multiple web sites with different URLs that re-direct a user to one web page;
   16. submit to Live Directory more than one URL for a single category;
   17. update Live Directory listings with intent to distort or misrepresent them, including but not limited to changing titles of the entries, descriptions of the entries, URLs, or keywords; or
   18. attempt to gain unauthorized access to other computer systems or networks connected to the Services.

   You agree that you will not use the Services, including the information provided therein and all related equipment, networks and network devices (specifically including Internet access) for any unlawful purpose. Telemundo, at its sole and absolute discretion, shall determine whether any information transmitted or received violates this provision.

   You are solely responsible for any interaction with other members or visitors to Site, and the Site reserves the right but shall have no obligation to monitor disputes between you and any other member of Site.

   You certify that you are an individual (i.e., not a corporation).

   6. MONITORING

      Telemundo has no obligation to monitor the use of the Services by members. You acknowledge and agree that Telemundo reserves the right to, and may from time to time, monitor any and all information transmitted or received through the Services for operational and other purposes. During monitoring, information may be examined, recorded, copied, and used for authorized purposes in accordance with our Privacy Policy. Use of the Services constitutes consent to such monitoring. Furthermore, Telemundo reserves the right at all times to disclose any information posted on any portion of the Services and/or Site as necessary to satisfy any law, regulation or governmental request, or to refuse to post, or to remove, any information or materials, in whole or in part, that in Telemundo’s sole and absolute discretion are objectionable or in violation of this Agreement.

   7. PERSONAL SAFETY.

      When using the Services, please be certain that anything you say does not compromise your personal safety. Do not provide your name, phone number, postal or e-mail address, your password, or any other personally identifying information to people you do not know. Do not continue any conversation online that makes you feel uncomfortable.

4. CONTENT PROVIDED THROUGH THE SERVICES

   Communications and Content posted through the Services are provided by users such as you who are unaffiliated with Telemundo, and the user providing each such Communication or Content is solely responsible for the content thereof. This means that you, and not Telemundo, are entirely responsible for all Content and Communications that you upload, post, email or otherwise transmit via the Services. In using the Services or receiving e-mail, text or other messages from members through the Services, you should not assume that such messages have been reviewed by Telemundo, that such Communications contain correct information, or that the persons posting such Content and Communications have accurately identified themselves and/or their affiliation with any third party. You understand that by using the Services, you may be exposed to Content and Communications that are offensive, indecent, or objectionable. Under no circumstances will Telemundo be liable in any way for any Communication, including, but not limited to, liability for any errors or omissions in any Content or Communication, or for any loss or damage of any kind incurred as a result of the use of any Content or Communication posted, e-mailed, or otherwise transmitted via the Services.

   1. RULES FOR CHAT ROOMS, MESSAGE BOARDS, AND OTHER USER-SUPPLIED MATERIAL

      Portions of this Site provide you and other users an opportunity to submit, post, display, transmit and/or exchange information, ideas, opinions, photographs, images, video, creative works or other information, messages, transmissions or material to us, the Site or others ("Post" or "Postings"). Postings do not reflect the views of Telemundo, and Telemundo does not have any obligation to monitor, edit or screen any Postings. Please see our Terms of Use and Privacy Policy. Notwithstanding anything else in these Rules of Conduct, Telemundo should not be seen as endorsing any Post in any way. Neither Telemundo nor its parent company, its respective officers, directors, and employees, subsidiaries and/or affiliates shall be liable for any Posting that is in violation of this agreement.

      You acknowledge that anything you submit to Telemundo by way of any Posting is routed through Telemundo’s servers and the Internet and that, therefore, you have no expectation of privacy with regard to any such submission. You acknowledge that the Posting and features on Telemundo are postings for public and not private communications. Please keep in mind that whenever you give out personal information online, for example, via message boards or chat, that information can be collected and used by people you don't know. We cannot guarantee the security of any information you disclose online; you make such disclosures at your own risk. (Users under the age of 18 should be especially careful not to provide any personally identifying information while using chat rooms or message boards. As set forth above, users of chat rooms and message boards must follow acceptable standards of behavior when posting messages online.)

      If a Posting originates from you or your account, you hereby agree not to post any materials that violate the Rules of the Site as set forth above in 3. You agree to comply with any additional terms which are referred to on this Site or any subsite within the website, specificially the Rules for the Use of the Service set forth above at Paragraph 3(e).

      The message boards provided on Telemundo are for the purpose of exchanging views and information about Telemundo related television programming. Telemundo reserves the right to terminate the account or suspend the posting privileges of anyone who Posts materials unrelated to these topics.

      Although Telemundo may from time to time monitor or review bulletin boards, chatrooms, discussions, postings, transmissions, and the like, Telemundo is under no obligation to do so and assumes no liability or responsibility arising from the contents of any such communications or for any defamation, error, inaccuracy, libel, obscenity, or profanity contained in any such communication. Telemundo may change, edit, or remove any user material or conversations that are illegal, indecent, obscene, or offensive, or that violate Telemundo's policies in any way. Further, Telemundo reserves the right to remove or edit content from any Forum at any time and for any reason although we have no duty to do so. Telemundo will fully cooperate with any law enforcement authorities or court order requesting or directing Telemundo to disclose the identity of anyone posting such materials.

      Posting is for noncommercial purposes only and you may not Post in any manner which does or is intended to promote or generate revenue for any business enterprise or commercial activity.

      If you believe that any content on the Site (including, without limitation, Postings) violates any of the terms of this Agreement, please inform us about it by contacting us at correo@telemundo.com. We will not respond to your message and we reserve the right to take or refrain from taking any or all steps available to us once we receive any such message.

   2. RULES FOR USER-SUBMITTED CONTENT

      The term "Content" shall include any materials or information submitted by you, including, without limitation, your name, likeness, videos, photographs, recordings, writings, statements, audio materials, audiovisual materials, ideas, Postings or other material furnished by you to Telemundo through the Site or otherwise.

      ORIGINALITY; RIGHT TO POST: Any Content that you post or upload on this Site must be either (a) an original work by you, that does not copy or use other works (such as dialogue from plays, recordings of musical works or clips from other videos, television programs or motion pictures) or (b) Content for which you have all rights and permissions necessary to grant the rights hereunder. In addition, your Content must not infringe or violate any rights of any third party or entity, including, without limitation, copyright, trademark, defamation, privacy, publicity, false light, idea misappropriation, intentional or negligent infliction of emotional distress, or any contractual rights. Before posting Content, you must have all the rights, licenses, permissions and consents necessary to submit the Content and to grant all of the rights that you have granted to Telemundo under this Agreement. Before you post content, you must have the express consent of everyone who appears in the Content to submit the Content for use, exhibition and other exploitation in any manner and in any and all media, whether now existing or hereafter discovered, throughout the world, in perpetuity. If you submit an image of someone who is under 18 years of age who is not your child, you must have the permission of that child's parent or legal guardian.

      GRANT OF RIGHTS IN CONTENT: By uploading or inputting Content to Telemundo you hereby acknowledge and agree that you are granting Telemundo (including without limitation NBC Universal, Inc., its licensees, successors and assigns), the perpetual and irrevocable, non-exclusive right and license to: (a) use, copy, create derivative works from, reproduce, distribute, display, exhibit, host, cache, store, archive, index, categorize, comment on, tag, transmit, broadcast, stream, edit, alter, modify, synchronize with visual material, create algorithms based thereon, and transcode the Content to appropriate media formats, standards or mediums; and (b) otherwise use, exhibit and exploit, and sell, license, assign and otherwise transfer to third parties the right to use, exhibit and otherwise exploit the Content (in whole or in part and as altered by Telemundo in its sole discretion) throughout the world in perpetuity, in any and all media, whether now existing or hereafter devised, including, without limitation, on Telemundo's website, on other websites, on the Telemundo television network, and on all owned and affiliated broadcast and cable networks, as well as in connection with any distribution or syndication arrangement with third parties or third party sites, in any media format or medium and through any media channels and for any purpose, including, without limitation, downloads, streams, in audio visual recordings, motion pictures, television programs, productions, advertising, promotion and publicity, including, without limitation, advertising, promotion and publicity for, Telemundo, Site, nbc.com and other websites, television channel(s) and its programming, and all owned and affiliated broadcast and cable networks and channels and their programming, all without further notice to, consent from or payment to you. You waive any and all "moral rights" you may have in the Content.

      Without in any way limiting the foregoing, you acknowledge and agree that Telemundo, its licensees, successors and assigns, shall have the right to sell, license, assign and otherwise transfer any and all of the rights granted by you to Telemundo under this Agreement, and to display any advertising, publicity, promotional materials and distribution rights in connection with your Content. You acknowledge and agree that Telemundo, its licensees, successors and assigns, will be entitled to retain any and all revenue generated from any sales, licenses, assignments and other transfers of the rights granted by you hereunder, as well as any and all revenue generated by the display of any advertising, publicity, promotional materials or distribution rights in connection with your Content. Nothing in this Agreement obligates or may be deemed to obligate Telemundo or any other person or entity to exercise any of the rights granted by you under this Agreement.

      You grant the rights hereunder whether or not your Content or any part thereof is actually used by Telemundo. You acknowledge that your consideration for the rights you grant in your Content is the possibility that Telemundo its licensees, successors and/or assigns will review or use your Content. You will not receive any further compensation of any kind for your Content or the use thereof, and you agree that Telemundo, its licensees, successors and/or assigns in their sole discretion, shall have the right to give you no credit or determine in what form to give you credit for any use of your Content. Your Content will not be acknowledged or returned. You acknowledge and agree that your Content is being sent voluntarily, and not in confidence, and that no confidential relationship is intended or created between Telemundo and/or any other person or entity, on the one hand, and you, on the other hand, by your submission of the Content.

      Telemundo shall have the right, in its sole discretion, not to post the Content on any website, to remove the Content from any website on which it has been posted, and not to use, exhibit or otherwise exploit your Content in any manner whatsoever. Telemundo has no obligation to inform you of any decision not to post, to remove, or not to use, exhibit or otherwise exploit your Content.

      You recognize that other persons, including Telemundo’s own employees, may have submitted to Telemundo or others, or made public, or may in the future originate and submit, or make public, materials that are similar or identical to your Content. You acknowledge and agree that Telemundo, its licensees, successors and/or assigns shall have the right to use such similar or identical materials, and that you will not be entitled to any compensation because of Telemundo or its licensees', successors' and/or assigns' use of such similar or identical materials. Nothing in this Agreement, or your submission of the Content, shall be deemed to place you in any different position from any other member of the public.

      USE OF YOUR NAME AND LIKENESS: By sending Telemundo your Content, you consent to the recording, use and reuse by Telemundo, their licensees, successors and assigns, of your voice, actions, likeness, name, appearance, performance, biographical material, and any other identifying information, including, without limitation, any information contained in your Content (collectively, "Personal Elements"), as edited, altered, fictionalized or modified by Telemundo, in their sole discretion, in any and all media now known or hereafter devised, throughout the world, in perpetuity, including, without limitation, in and in connection with Telemundo, the Site, or related websites, in and in connection with any television programs and other productions, and in and in connection with advertising, promotion and publicity. You acknowledge and agree that Telemundo, their licensees, successors and assigns, may use all or any part of your Personal Elements, and may make any changes that any of them may deem necessary, in their sole discretion, including altering, fictionalizing or modifying them regardless of whether or not you are recognizable.

      OWNERSHIP OF USER SUBMITTED CONTENT: Except as expressly set forth in this Agreement, you shall continue to own all rights in and to the Content. To the extent your Content contains other materials or elements owned by Telemundo or any other affiliated company, such as characters or other elements protected by copyright, trademark or other laws, your rights to make any other use of the Content will continue to be governed by and may be limited by other applicable laws.

5. MERCHANTS

   Your correspondence or business dealings with, or participation in promotions of, merchants found on or through the Services, including payment and delivery of related goods or services, and any other terms, conditions, warranties, or representations associated with such dealings, are solely between you and such merchant. Telemundo will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings or as the result of the presence of such merchants on the Services.

6. DISCLAIMERS

   Telemundo is not responsible for any incorrect or inaccurate Content posted on the Services or in connection with the Site, whether caused by Users of the Services or by any of the equipment or programming associated with or utilized in the Services. Profiles created and posted by members on the Site may contain links to other websites. Telemundo is not responsible for the Content, accuracy or opinions expressed on the Services, and Telemundo is in no way investigated, monitored or checked for accuracy or completeness. Inclusion of any linked website on the Site does not imply approval or endorsement of the linked website. When you access these third-party sites, you do so at your own risk. Telemundo takes no responsibility for third party advertisements which are posted on or through Telemundo or through the Services, nor does it take any responsibility for the goods or services provided by its advertisers. Telemundo is not responsible for the conduct, whether online or offline, of any User of Telemundo or the Services provided through the Site. Telemundo assumes no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, any User or Member communication. Telemundo is not responsible for any problems or technical malfunction of any telephone network or lines, computer online systems, servers or providers, computer equipment, software, failure of any email or players due to technical problems or traffic congestion on the Internet or on any of the Services or combination thereof, including any injury or damage to Users or to any person's computer related to or resulting from participation or downloading materials in connection with the Services. Under no circumstances shall Telemundo be responsible for any loss or damage, including personal injury or death, resulting from use of the Services, attendance at a Telemundo event, from any Content posted on or through Telemundo, or from the conduct of any Users of the Services, whether online or offline. The Services are provided "AS-IS" and as available and Telemundo expressly disclaims any warranty of fitness for a particular purpose or non-infringement. Telemundo cannot guarantee and does not promise any specific results from use of the Services.

7. LIMITATION ON LIABILITY.

   IN NO EVENT SHALL TELEMUNDO BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE SERVICES, EVEN IF TELEMUNDO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8. INDEMNIFICATION

   You agree to defend, indemnify and hold harmless Telemundo, NBC Universal, Inc., its affiliates and their respective directors, officers, employees and agents from and against any and all claims, actions, suits or proceedings, as well as any and all losses, liabilities, damages, costs and expenses (including reasonable attorneys fees) arising out of or accruing from (a) any material posted or otherwise provided by you that infringes any copyright, trademark, trade secret, trade dress, patent or other intellectual property right of any person or defames any person or violates their rights of publicity or privacy, (b) any misrepresentation made by you in connection with your use of the Services; (c) any breach of any of the representation, warranties or other terms or conditions of the Content Requirements or any use of your Content or Personal Elements (d) any non-compliance by you with the terms and conditions of this Agreement; and (e) claims brought by persons or entities other than the parties to this Agreement arising from or related to your access and use of the Services or your Content to the Services, including the information obtained through the Services.

9. TERMINATION

   Telemundo may, in its sole discretion, terminate your password, account (or any part thereof) or use of the Services, or remove and discard any Communication transmitted by you, or information stored, sent, or received via the Services without prior notice and for any reason, including, but not limited to: (i) concurrent access of the Services with identical user identification numbers, (ii) permitting another person or entity to use your user identification number to access the Services, (iii) any other access or use of the Services except as expressly provided in this Agreement, (iv) any violation of the terms and conditions of this Agreement or the rules and regulations relating to the use of, the software and/or data files contained in, or accessed through, the Services, (v) tampering with or alteration of any of the software and/or data files contained in, or accessed through, the Services, or (vi) failure to use the Services or portion thereof on a regular basis. You may terminate your membership hereunder upon thirty (30) days written notice by you to by Telemundo of your intent to terminate this Agreement. Termination, suspension, or cancellation of this Agreement or your access rights shall not affect any right or relief to which Telemundo may be entitled, at law or in equity. Upon termination of this Agreement, all rights granted to you will automatically terminate and immediately revert to Telemundo and its licensors.

10. MINORS

    If you have agreed to allow your minor child, or a child for whom you are legal guardian (a "Minor"), to use the Services, you agree that you shall be solely responsible for: (a) the online conduct of such Minor; (b) monitoring such Minor's access to and use of the Services; and (c) the consequences of any use of the Services by such Minor. Children under the age of 13 may not register for any Services hereunder. At various places on the Services, we ask whether users are under the age of 18 or 13. Telemundo relies on our users to be truthful in responding to these questions. If a user does not identify his/her proper age, we will have no way of verifying actual age with respect to our privacy policy.

11. CHILD ONLINE PROTECTION ACT NOTIFICATION

    Pursuant to 47 U.S.C. Section 230(d) as amended, Telemundo hereby notifies you that parental control protections (such as computer hardware, software, or filtering services) are commercially available that may assist you in limiting access to material that is harmful to minors. Information identifying current providers of such protections is available at the Electronic Frontier Foundation Web site, http://www.eff.org/pub/Censorship/Ratings_filters_labelling/, and at the America Links Up Web site, http://www.netparents.org/parentstips/browsers.html. 12. INFRINGEMENT POLICY

    Telemundo, pursuant to 17 U.S.C. Section 512 as amended by Title II of the Digital Millennium Copyright Act (the "Act"), reserves the right, but not the obligation, to terminate your license to use the Services if it determines in its sole and absolute discretion that you are involved in infringing activity, including alleged acts of first-time or repeat infringement, regardless of whether the material or activity is ultimately determined to be infringing. Telemundo accommodates and does not interfere with standard technical measures used by copyright owners to protect their materials. In addition, pursuant to 17 U.S.C. Section 512(c), Telemundo has implemented procedures for receiving written notification of claimed infringements and for processing such claims in accordance with the Act. All claims of infringement must be submitted to Telemundo in a written complaint that complies with the requirements below and is delivered to our designated agent to receive notification of claimed infringement:

    6. A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed or on behalf of the person defamed.

13. MODIFICATION

    Telemundo reserves the right, in its sole discretion, to amend this Agreement, and to modify, add or discontinue any aspect, content, or feature of the Services. Such amendments, modifications, additions or deletions shall become effective upon notice thereof, which may be provided to you by posting on the Services, via e-mail or any other reasonable means. Continued use of the Services by you shall constitute your binding acceptance of any such amendments, modifications, additions or deletions.

    The terms of this Agreement may from time to time be superseded by the Official Rules of any contests, sweepstakes, and/or voting on the Site.

14. EXPORT CONTROL INFORMATION

    Unless otherwise specified, the materials on the Services are presented solely to provide information regarding and to promote Telemundo’s Services and other products available in the United States, its territories, possessions and protectorates. The Services is controlled and operated by Telemundo from its offices within the state of Florida, United States of America. Telemundo makes no representation that materials on the Service are appropriate or available for use outside the United States. Those who choose to access the Services from outside the United States do so on their own initiative and are responsible for compliance with local laws, if and to the extent that local laws are applicable. Software from the Services is further subject to United States export controls. No software from the Services may be downloaded or otherwise exported or re-exported (A) into (or to a national or resident of) Cuba, Iraq, Libya, North Korea, Iran, Syria, or any other country to which the U.S. has embargoed goods, or (B) to anyone on the U.S. Treasury Department List of Specially Designated Nationals or the U.S. Commerce Department's Table of Deny Orders. By using the Service, you represent and warrant that you are not located in, under the control of, or a national or resident of any such country or on any such list.

15. MISCELLANEOUS

    This Agreement shall be governed by and construed in accordance with the laws of the State of Florida without giving effect to any principles of conflicts of law. Although you acknowledge that Telemundo will have the ability to enforce its rights in any court of competent jurisdiction, you hereby consent to the exclusive jurisdiction and venue of courts in Miami, Florida, U.S.A., regarding any and all disputes relating to this Agreement or your use of the Services. You acknowledge and agree that the warranty disclaimers and liability and remedy limitations in this Agreement are material terms of this Agreement and that they have been taken into account in the decision by Telemundo to provide the Services hereunder. You may not assign any of your rights, obligations or privileges hereunder without the prior, written consent of Telemundo. Any assignment of the foregoing other than as provided for in this section shall be null and void, ab initio. If any provision of this Agreement shall be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from this Agreement, shall be enforced to the fullest extent allowed by law as to effect the intention of the parties, and shall not affect the validity and enforceability of any remaining provisions. This Agreement and any posted operating rules constitute the entire agreement of the parties with respect to the subject matter hereof, and supersede all prior or contemporaneous communications and proposals, whether oral or written, between the parties with respect to such subject matter. No waiver of any provision or any right granted hereunder will be effective unless set forth in a written instrument signed by the waiving party. No waiver by either party of any breach or default hereunder shall be deemed a waiver of any subsequent breach or default. You agree not to reproduce, duplicate, copy, sell, resell, or exploit for any commercial purposes, any portion of the Services or access to the Services. The titles and subtitles used in this Agreement are used for convenience only and are not to be considered in construing or interpreting this Agreement.

16. MEDIATION/ARBITRATION: PLEASE READ CAREFULLY. UNDER THIS SECTION, YOU ARE GIVING UP YOUR LEGAL RIGHTS TO FILE A LAWSUIT IN COURT WITH RESPECT TO ANY CLAIM ARISING IN CONNECTION WITH THIS AGREEMENT OR YOUR SUBMISSION.
17. IF ANY CONTROVERSY OR CLAIM ARISING OUT OF OR RELATING TO THIS AGREEMENT, THE BREACH OF ANY TERM HEREOF OR YOUR SUBMISSION CANNOT BE SETTLED THROUGH DIRECT DISCUSSIONS, THE PARTIES AGREE TO ENDEAVOR FIRST TO SETTLE THE CONTROVERSY OR CLAIM BY MEDIATION CONDUCTED IN THE COUNTY OF MIAMI-DADE AND ADMINISTERED BY JAMS UNDER ITS APPLICABLE RULES, BEFORE COMMENCING ANY PROCEEDINGS PERMITTED UNDER THIS PARAGRAPH. IF ANY CONTROVERSY OR CLAIM IS NOT OTHERWISE RESOLVED THROUGH DIRECT DISCUSSIONS OR MEDIATION, AS SET FORTH ABOVE, THEN THE PARTIES AGREE THAT IT SHALL BE RESOLVED BY BINDING ARBITRATION CONDUCTED IN THE COUNTY OF MIAMI-DADE AND ADMINISTERED BY JAMS IN ACCORDANCE WITH ITS STREAMLINED ARBITRATION RULES AND PROCEDURES OR SUBSEQUENT VERSIONS THEREOF, INCLUDING THE OPTIONAL APPEAL PROCEDURE (THE "JAMS RULES"). THE JAMS RULES FOR SELECTION OF AN ARBITRATOR SHALL BE FOLLOWED, EXCEPT THAT THE ARBITRATOR SHALL BE AN ARBITRATOR EXPERIENCED IN THE ENTERTAINMENT INDUSTRY AND LICENSED TO PRACTICE LAW IN FLORIDA OR A RETIRED JUDGE. ANY APPELLATE PANEL SHALL CONSIST OF THREE NEUTRAL MEMBERS, SUBJECT TO THE FOREGOING REQUIREMENTS. ALL ARBITRATION PROCEEDINGS, INCLUDING DOCUMENTS FILED IN THE COURSE OF SUCH PROCEEDINGS, AND THE FACT THAT THE ARBITRATION IS BEING CONDUCTED, SHALL BE CONFIDENTIAL. THE ARBITRATOR'S DECISION SHALL BE CONTROLLED BY THE TERMS OF THIS AGREEMENT. UPON CONCLUSION OF ANY ARBITRATION PROCEEDINGS HEREUNDER, THE ARBITRATOR SHALL RENDER FINDINGS OF FACT AND CONCLUSIONS OF LAW AND A WRITTEN OPINION SETTING FORTH THE BASIS AND REASONS FOR ANY DECISION HE OR SHE HAS REACHED AND SHALL DELIVER SUCH DOCUMENTS TO EACH PARTY TO THE AGREEMENT ALONG WITH A SIGNED COPY OF THE AWARD. ANY JUDGMENT UPON AN AWARD RENDERED BY AN ARBITRATOR MAY BE ENTERED IN ANY STATE OR FEDERAL COURT IN THE COUNTY OF MIAMI, FLORIDA HAVING JURISDICTION OF THE SUBJECT MATTER HEREOF. YOU MAY COMMENCE AN ACTION AT LAW FOR THE SOLE PURPOSE OF ENFORCING AN ARBITRATION AWARD. WITHOUT IN ANY WAY LIMITING THE FOREGOING, IN NO EVENT SHALL YOU HAVE ANY RIGHT TO SEEK INJUNCTIVE OR OTHER EQUITABLE RELIEF AGAINST TELEMUNDO, NBC UNIVERSAL, INC, ITS PARENT, SUBSIDIARY OR AFFILIATED COMPANIES, ITS LICENSEES, SUCCESSOR OR ASSIGNS, OR ANY OTHER PARTY ARISING OUT OF ANY USE OR NON-USE OF THE SUBMISSION. NOTWITHSTANDING THE FOREGOING, YOU ACKNOWLEDGE THAT TELEMUNDO MAY NONETHELESS (1) SEEK TO OBTAIN INJUNCTIVE OR OTHER EQUITABLE RELIEF FROM A COURT TO ENFORCE THE PROVISIONS OF THIS AGREEMENT, AND (2) BRING AN ACTION TO ENFORCE THE DECISION OF THE ARBITRATOR BEFORE ANY COURT WITH JURISDICTION. YOU MUST COMMENCE A FORMAL ARBITRATION PROCEEDING PURSUANT TO THIS AGREEMENT WITHIN SIX MONTHS AFTER THE DATE ANY SUCH CLAIM ARISES; FAILURE TO DO SO WITHIN THAT SIX-MONTH PERIOD SHALL BE DEEMED AN IRREVOCABLE WAIVER OF ANY RIGHTS YOU MIGHT HAVE PURSUANT TO THIS AGREEMENT WITH RESPECT TO ANY CLAIM AGAINST YOU.
